What is considered reasonable compensation?

Many corporation have an incentive to compensate their employees and other contractors who perform services as salary. This total salary then can be used as a salary deduction for tax purposes, leading to a smaller cash outflow for taxes.

Some corporations, however, may attempt to account expenses or dividends as salary when it should not be considered salary. For instance, if a corporation pays salary instead of a dividend to a large shareholder who did not perform any service, this would not be considered reasonable compensation. Moreover, the IRS would likely deem this payment to be a constructive dividend for tax purposes.

The tax effects of trading your stock

In some cases, individuals may choose to trade their stock for other stock owned by a corporation or an individual. When this occurs, the individual may or may not be taxed on the exchange.

If the individual is acting as an individual taxpayer and not as a corporate employee, then the exchange will likely be taxable. However, there are a few exceptions. For instance, if the stock is exchanged for like stock of the same class and character, then the exchange will not be taxable, and any tax effects will be deferred.

Repbulic Windows CEO receives $10 million bail

The CEO of Republic Windows & Doors was given $10 million
Thursday for a case that alleges that he attempted to bankrupt his own
company.

Richard Gillman's lawyer argued that the bail was
unreasonably high, given that Gillman is almost bankrupt himself.
Gillman alledgedly stole money from the company and diverted it through
fraudulent companies and foreign bank accounts.

Owners of flood-damaged buildings eligible for disaster relief funds

Business owners in flood-damaged buildings can receive relief through a disaster recovery program. In such buildings, owners can receive six months of free rent. 

For business owners who moved from a flood-damaged building to a new building, they, however, cannot apply the funds to the new building.

At this point, according to reports, only $100,000 is available in the fund. Officials, though, said that the fund would likely be increased as more business owners apply.

EPA to test Evansville area for lead

The U.S. Environmental Protection Agency (EPA) will start taking samples in Evansville to test for lead contaminated soils. The testing will be part of a plan to cleanup 41-and-a-half-square-mile area in a Jacobsville neighborhood. 

The cleanup is being funded partly by federal stimulus money and is expected to be completed sometime in 2012. The potentially contaminated area will not only include housing but also a business district and new arena.

Agriprocessors may avoid paying $1 million state fine

Agriprocessors Inc. may avoid paying a $1 million state labor fine because Agriprocessors, a large kosher meat producer, is currently filing for bankruptcy. A lawyer for the company's bankruptcy trustee said Monday that Agriprocessors may never pay the fine because of debts owed to higher-priority creditors.

The fine was originally for $10 million, but was reduced by a bankruptcy judge last week. Agriprocessors incurred the fine for allegedly violating paycheck deductions laws.

The company entered bankruptcy proceedings six months ago after a May 2008 immigration raid targeted the workforce.

Gulf Alternative Energy Corp to purchase ethanol plant

Gulf Alternative Energy Corporation and Xethanol Biofuels, LLC have reached an agreement for Gulf to purchase an ethanol plant in Balirstown, Iowa. The financial terms of the agreement were not disclosed. 

Gulf representatives said the company plans to convert the plant into a cellulosic ethanol plant that will use corn stalks, corn cobs, switchgrass and agricultural waste products. Although financial terms of the deal were not disclosed, the Gulf representatives said the two companies expect to close the deal later this year.
